In the last decade we have grown from a small company of 3 people to a force of 20 today with a motto that encompasses giving young talent an opportunity while providing fresh thinking to the industry. Over the years we have nurtured a lot of talent at Here and Now 365 and we continue to do so. With our growth, we have realised that the agency is at a stage where we are representing a lot of clients as custodians of their brand and marketing information. To ensure that the policies and processes at our end protect our mutual interests, we would like to share the restrictive governance policy by which we operate, restricting our ex-employees from relaying confidential information to external parties after leaving the organisation:

Save with the company’s previous written consent, during the period of three months after the date of termination of employment, the employee will not either on their own, jointly with another, as employee of another or director of any limited company or as partner in any partnership or consultant or in any other capacity, directly or indirectly, compete with the business of the company or any associated company being carried on at the date the employment terminates and in which they have been directly concerned or connected at any time in the last 12 months of their employment with the company, provided that this restriction does not extend to any employment or activity the performance of which could not involve them in such competition;

For a period of 6 months after the termination of employment, they cannot represent or work on the account or business of or otherwise contact or deal with, solicit the custom of, interfere with or endeavour to entice away from the company or any associated company (whether on your own account or for any other person or firm), any person, firm or body corporate which is at the date of termination of their employment or which has during the period of 12 months immediately preceding that date been a customer or client of, exhibited at exhibitions held by, or had business dealings with the company or any associated company if such customer, client or exhibitor of such associated company was a customer, client or exhibitor with whom they have had personal dealings with or for whose account or business they have worked on or have been responsible provided that this restriction does not apply where the performance of such activities in relation to such persons. Firms or bodies corporate would not adversely affect the business of the company or any associated company being carried on at the date their employment terminates and in which you were directly concerned or connected at any time in the last 12 months of your employment with the company;

They will not, for a period of six months after the date of termination of their employment, solicit the services of or endeavour to entice away from the company or any associated company, any director, consultant or any other employee employed in a senior or technical capacity of the company or any associated company known personally to them (whether or not such person would commit any breach of his contract of employment or engagement by reason of leaving the service of such company) or knowingly employ, assist in or procure the employment by any other person, firm or body corporate of any such person; and

they will not at any time after the termination of your employment carry on business under a name the same as or similar to that of the company or any associated company.
